Terms of Service
Last updated: October 8, 2026
These Terms of Service (the "Terms") are a binding agreement between you and 2821478 Alberta Ltd., an Alberta, Canada corporation operating as AugmentationAI (augmentationai.com) ("AugmentationAI", "we", "us" or "our"). They cover your use of our website at https://augmentationai.com, the customer Hub at https://augmentationai.com/hub, our API at https://augmentationai.com/v1, our MCP memory endpoint at https://augmentationai.com/mcp, and any related tools and services we provide (together, the "Service").
Please read them carefully. Three points deserve attention up front:
- Third-party Model Providers. When you send an inference request through the Service, it is served by a third-party Model Provider. Each Model Provider has its own terms and data practices, which apply to your use of its models (section 6).
- Your consumer rights. Nothing in these Terms takes away rights you have under consumer protection or privacy laws that cannot be changed by contract.
- Disputes. These Terms are governed by the laws of Alberta and the federal laws of Canada that apply there, and disputes go to the courts of Alberta after an informal resolution period, subject to any right you have to use your local courts (section 18).
1. Agreeing to these Terms
By creating an account (including by signing in with GitHub or Google), generating an API key, or otherwise using the Service, you confirm that you have read, understood and agree to these Terms. Our Privacy Policy explains how we handle personal information; please read it too. If you do not agree to these Terms, do not use the Service.
If you use the Service on behalf of a company or other organization, you confirm that you have authority to bind it, and "you" includes that organization.
2. Eligibility
You must be at least 13 years old, or the age of digital consent where you live if that is higher, to use the Service. If you are under the age of majority where you live, you may use the Service only with the consent of a parent or legal guardian who agrees to these Terms on your behalf and is responsible for your use, including any purchase. Only a person who has reached the age of majority, or a parent or guardian acting for a minor, may buy Credits or a package.
You also confirm that we have not previously suspended or banned you from the Service, and that your use of the Service complies with all laws that apply to you, including sanctions and export control laws.
3. The Service
3.1 Inference routing. The Service gives you an API key and an OpenAI-compatible API that routes your requests to large language models and other AI models ("Models") operated by third parties ("Model Providers"). We pass your request to the route that serves it and return the response to you. We do not operate the Models ourselves. Today, requests are routed through OpenRouter, a routing service that passes them to the Model Provider serving the Model; this includes the Models we offer under the GLM-X names. The routes we use can change (section 3.5). We are not a model host. We provide an inference harness and a memory service: we route your requests, manage the context sent with them and store what you choose to save. Model Outputs are produced by the Model Providers' models, may be inaccurate or unsuitable for your purpose, and are used at your own discretion and risk.
3.2 Memory. The Service includes a persistent memory store for your account ("your store"). Your store is kept in its own database files and served by its own engine process. Retrieval from your store is performed by our own software and does not call a large language model. Today, your store is reached through the MCP memory endpoint using a separate memory token; memory is not added automatically to API requests unless we tell you that feature is available.
3.3 Harness. The Service includes context management tools ("the harness") intended to send a Model only the context a task needs. Harness features are being released in stages, and the website and Hub describe what is available at any time.
3.4 Packages. We plan to offer monthly coding packages that bundle features of the Service, including memory. They are not yet on sale. What each package includes, and its limits, are described on our website or in the Hub at the time you buy it.
3.5 Changes. We may add, change or remove features, Models, routes and Model Providers. Model availability depends on the Model Providers, and we cannot guarantee that any particular Model will remain available. We will not materially reduce what a paid package includes during a billing period you have already paid for.
3.6 Access during launch. We may limit new accounts, for example by placing sign-ups on a waitlist and approving them in turn.
4. Accounts and credentials
4.1 Your account. You need an account to use most of the Service. You can register with an email address and password, or sign in through GitHub or Google. You agree to give accurate information and keep it up to date.
4.2 One person, one account. An account is for one person (or, for an organization account, the people it authorizes in writing with us). You may not share your login or Credentials with anyone else, create multiple accounts to get around limits, or sell or transfer your account.
4.3 Credentials. You are responsible for keeping your password, API keys, memory tokens and any other access tokens ("Credentials") secret and secure. Send them only in the way our documentation describes (for example in an Authorization header), not in URLs or shared files. You are responsible for activity and charges under your account or Credentials, except where they result from our own breach of these Terms or our failure to take reasonable security measures, and subject to your rights under applicable law. Tell us at support@augmentationai.com right away if you think a Credential has been exposed or misused.
4.4 Protective action. We may suspend, revoke, rotate or limit Credentials or account access if we reasonably believe this is needed to protect you, us, a Model Provider, or anyone else.
5. Billing, credits and refunds
5.1 Prepaid wallet credits. All prices, Credits and charges are in US dollars (USD) unless expressly stated otherwise. API usage is paid for from a prepaid wallet attached to your account. You buy credits in advance ("Credits"), and each request deducts its cost from your balance according to the rates shown on our website or in the Hub at the time of the request. If your balance runs out, requests are refused until you add Credits. We do not store your card for automatic top-ups; each purchase is a separate payment you authorize. Per-minute billing for small jobs is not available yet; if we introduce it, the unit and price will be shown before you are charged.
5.2 Nature of Credits. Credits are a prepayment for the Service only. They are not money, a deposit or a stored-value account, have no cash value except as described in section 5.6, cannot be transferred between accounts, and can be used only on the Service. Purchased Credits do not expire.
5.3 Bonus and promotional Credits. We may give extra Credits as part of a trial, promotion or similar offer ("Promotional Credits"). The terms of any such offer are shown when it is made. Promotional Credits have no cash value, are not refundable, and may carry their own expiry date if we tell you so when we give them.
5.4 Monthly packages and the trial. New accounts start with a 7-day free trial of the memory store. The trial covers memory only: it includes no free Credits, and model usage during and after the trial is paid from Credits or pay as you go. Monthly packages are billed in advance by card at the price shown when you subscribe, and renew each month until cancelled. You can cancel at any time; cancellation stops the next renewal, and the package stays active until the end of the period you have already paid for. Cancelling a package does not delete your account or your store (section 11). Packages are subject to the usage limits published for each package before you buy it. Heavy legitimate use, including long-running and background coding agents, is supported: reaching a usage limit slows or pauses requests until the limit resets, and is not by itself a reason to suspend an account. Suspension is reserved for misuse under section 8. Subject to applicable law and to the express commitments of the package you bought, we manage usage at our reasonable discretion to protect reliability, security, capacity and fair access, for example by queueing requests, adjusting concurrency or request rates, or changing routing priority. This does not permit undisclosed charges, reducing a paid allowance you have already been sold without the notice in section 19, or removing refund rights the law gives you.
5.5 Payment processing. Payments are processed by Stripe. Your card details go directly to Stripe and do not pass through our servers. You authorize us, through Stripe, to charge your chosen payment method for the Credits and packages you buy. Prices are shown before you pay. Applicable taxes are added where the law requires. We are registered for Canadian GST/HST (registration number 71167 3632 RT0001), and GST/HST is charged where it applies.
5.6 Refunds.
- Unused purchased Credits may be refunded on request within 30 days of purchase. Credits already spent and Promotional Credits are not refundable.
- Package fees are not refunded for a partly used billing period, except where the law requires otherwise.
- Service failure. If the Service materially fails to perform, write to support@augmentationai.com within 30 days of the charge and we will put it right, which may include a refund or credit.
- Refunds go to the original payment method. Send requests to support@augmentationai.com.
- Nothing in this section limits any refund, cancellation or withdrawal right you have under consumer protection law that cannot be waived.
5.7 Price changes. Model rates can change when Model Providers change theirs; the rate that applies to a request is the one shown at the time of the request. For package prices and any new fees, we will give you at least 14 days' notice by email before the change applies to you, and you can cancel before it takes effect.
5.8 Charges you owe. If a charge is reversed or disputed without good reason, or your usage leaves an amount owing, we may suspend the Service until it is paid.
6. Model Providers and Model Terms
6.1 Model Terms apply. Each Model is governed by its Model Provider's terms of service, usage policies and data practices, and by the terms of any routing service it is reached through ("Model Terms"). By using a Model through the Service, you agree to follow its Model Terms, and you are responsible for checking whether they allow your intended use of your Inputs and Outputs. Ask us at support@augmentationai.com which Model Provider serves a Model if it is not shown.
6.2 Your users. If you build our Service into your own product, you must make sure your users follow these Terms and the applicable Model Terms, and you are responsible for what they do. You may not resell raw access to the API or your API keys (section 8).
6.3 Changes to Model Terms. Model Providers may change their Model Terms. If you keep using a Model after its Model Terms change, the new version applies to that use. If you do not agree, stop using that Model.
6.4 Availability. Models are offered on an "as available" basis. Uptime, performance and output quality depend on the Model Provider.
6.5 Provider-side data handling. When you send a request, your Input goes to the Model Provider that serves it (through our router), which may keep it, log it, or in some cases use it to improve its models, under its own Model Terms. Some free Model endpoints in particular may log prompts or use them for training. Model Providers have their own data-handling responsibilities. This does not exclude our own responsibilities under applicable law or our agreements with you. Do not send sensitive data to a Model whose terms you have not checked. See our Privacy Policy for details.
6.6 Restricted Models. Some Model Providers do not allow access from certain countries or regions, or by certain people or organizations ("Restricted Models"). You may not access Restricted Models through the Service if you are not allowed to, and you may not use VPNs, proxies, false information or any other means to get around these restrictions or any safeguard we or a Model Provider use to enforce them.
6.7 Provider-driven suspension. We may suspend or restrict your access to a Model if we reasonably believe you have broken its Model Terms, or if its Model Provider requires it. We will try to give advance notice but cannot always do so. Each Model Provider controls access to its own Models.
6.8 Supporting information. If a Model Provider needs information or confirmations from you to keep providing a Model (for example, about your use case), you agree to provide them promptly. If you do not, access to that Model may be restricted.
6.9 Which terms govern. Between you and us, these Terms govern the Service. The Model Terms govern your use of each Model to the extent the Model Provider requires.
7. Your content and your store
7.1 What counts as your content. "Inputs" are the prompts, files and other material you send through the Service. "Outputs" are what the Service returns. Your store contents are what you or your agents (through your Credentials) save to your store. Together these are "Your Content".
7.2 Your rights. As between you and us, you keep whatever rights you hold in your Inputs and your store. These Terms do not give you ownership of third-party material you save or send. Your rights in Outputs are also subject to the Model Terms of the Model that produced them; we claim no ownership of Outputs.
7.3 The licence you give us. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, index, transmit, process and display Your Content only as needed to operate, secure, support and bill for the Service for you, including sending Inputs to the Model Provider that serves a request and sending store contents when you or your tools include them in a request. This licence ends when Your Content is deleted from our systems, except for copies kept as described in the Privacy Policy (for example backups, or records we must keep by law).
7.4 No training, no selling. We do not use your store, your Inputs or your Outputs to train any model, ours or anyone else's, and we do not sell Your Content. Model Providers' own practices are covered in section 6.5.
7.5 What we keep. We do not store the bodies of inference requests and responses in our account or billing records. For each request we keep a usage record (time, key, Model, route, token counts, charge, latency and status, and a short error message if the request failed), as described in the Privacy Policy. Your store is kept until you delete it or your account is deleted, as described in section 11 and the Privacy Policy.
7.6 Export and deletion. You can download an export of your store as NDJSON at any time from the Hub, at no charge. Today the export contains, for each memory, its id, namespace, title and a content field that is the retrieval snippet (which can be shorter than what you saved); it does not include edges or version history. We are working on a full-text export. You can delete your account and store from Settings; to remove an individual memory, write to support@augmentationai.com. Deletion follows the schedule in section 11 and the Privacy Policy.
7.7 Your promises. You confirm that you own Your Content or have the rights, licences and consents needed to submit it and to let us process it as these Terms describe, and that Your Content and our use of it under these Terms will not infringe anyone's intellectual property, privacy or publicity rights, defame anyone, or cause us to break any law.
7.8 Personal information in your store. If your store or Inputs contain personal information about other people, you are responsible for having a lawful basis and any notices or consents needed. For that information we act on your instructions as your service provider (a "processor" where the GDPR applies). If you need a data processing agreement for business use, contact support@augmentationai.com.
7.9 Our right to act. We are not obliged to monitor Your Content and we do not read your store except when you ask us to (for example, in a support request), when we must investigate a credible report, or when the law requires it. We may, however, block or remove content and refuse requests where we reasonably believe they break these Terms or the law.
7.10 Outputs and retrieval. AI Outputs can be wrong, offensive or unsuitable, and retrieval from your store can miss information or return irrelevant or outdated material. The Service does not provide legal, medical, financial, tax or other professional advice. You are responsible for reviewing Outputs and retrieved material, checking important information against its original source, and applying human judgement before you rely on them.
8. Acceptable use
You may use the Service only for lawful purposes and in line with these Terms and the applicable Model Terms. You must not, and must not help or allow anyone else to:
- use the Service for anything illegal, or to create, store or share content that is illegal or that breaks the Model Terms of the Model you are using;
- create, request, store or share any content that sexualizes minors or exploits or endangers children in any way. This is an absolute rule with no exceptions;
- harass, threaten, defame, stalk, defraud or deceive anyone, or impersonate any person or organization or misrepresent your affiliation;
- create or distribute malware for harmful or unauthorized purposes, or use the Service to attack, access, probe or disrupt a system without authorization;
- gain or try to gain unauthorized access to the Service, another customer's account or store, or any connected system, or probe other customers;
- collect personal information about others without consent or another lawful basis, or upload private information about a person without their consent or another lawful basis;
- infringe or misappropriate anyone's copyright, trademark, trade secret or other rights;
- scrape, crawl or copy the website, Hub or Service with automated means beyond normal use of the API, or get around measures that prevent this;
- share Credentials, let others use your account, or create multiple accounts or false identities to get around limits, bans or pricing;
- resell, sublicense or redistribute raw access to the Service or your API keys, or use the Service to build a competing routing service, without our written permission. Building the Service into your own product under section 6.2 is allowed;
- get around, probe or weaken any content filter, rate limit, usage limit or access control, including by splitting requests or switching access methods to avoid a filter;
- access Restricted Models in breach of section 6.6;
- carry out adversarial attacks against Models in breach of their Model Terms, or security-test the Service, without our prior written approval. We welcome responsible reports of security issues at support@augmentationai.com;
- reverse engineer, decompile or try to extract the source code of the Service, except where the law expressly allows it;
- use our name, logo or trademarks in a way that suggests we endorse you, without our written permission;
- send spam or unsolicited advertising through the Service; or
- use the Service in a way that overloads it or interferes with other customers' use.
Child safety. Where we become aware of content involving the sexual exploitation of children, we will preserve the relevant records and report them to the appropriate authorities as the law requires or permits.
Enforcement. We may investigate suspected breaches, cooperate with law enforcement, and take action under section 11.
9. Copyright complaints
We respect intellectual property rights. If you believe material handled through the Service infringes your copyright, send a notice to support@augmentationai.com identifying the work, the material, where it is, your contact details, and a statement that you are the owner or authorized to act for the owner. We will review the notice and act as the law requires, which may include forwarding it to the customer concerned. We may terminate the accounts of repeat infringers.
10. Fair use and limits
Packages, wallets and stores come with the storage, rate and usage limits shown on our website, in the documentation or in the Hub. Normal agent traffic is expected and welcome. We may apply limits on request size, file type, request rate and storage to protect the Service, and we may change them; current rate limits are published in the documentation. When a limit is reached, requests may be slowed, paused or refused with an error until it resets; reaching a limit is not by itself a reason to suspend an account. Sustained automated abuse, probing of other customers, or using the Service to attack anything may lead to suspension of the account or store involved.
11. Cancellation, deletion, suspension and termination
Cancelling a package, deleting your account and store, and our suspending or closing your account are different things:
11.1 Cancelling a package. Cancelling stops the next renewal. Paid package access continues to the end of the period you have already paid for. Cancelling does not delete your account, your store or your unused purchased Credits.
11.2 Deleting your account and store. You can delete your account from Settings, or by writing to support@augmentationai.com. When you do, your store stops being served immediately and is kept in a recoverable state for at least 30 days, so that a mistaken deletion can be undone by writing to support. After that it is deleted. Backup copies are removed as backups rotate. We keep billing and transaction records, and records of security-relevant account actions, for as long as the law requires (see the Privacy Policy). Fees already incurred remain payable. Unused purchased Credits can be refunded under section 5.6 if you ask within 30 days of purchase.
11.3 Suspension or termination by us. We may suspend or terminate your account, or your access to any part of the Service, if you materially breach these Terms or the Model Terms, if a Model Provider or the law requires it, if your account is unpaid, or if your use puts the Service, other customers or third parties at risk. We will email you first unless the law, a Model Provider, or an ongoing abuse or security incident requires immediate action. For serious breaches, including of the child safety rule in section 8, we may act immediately.
11.4 Credits and your store if we close your account. If we close your account for a reason other than your breach of these Terms, we will refund your unused purchased Credits to your original payment method within 30 days, and give you a reasonable opportunity to export your store. If we close it for your material breach, unused Credits are forfeited except where the law requires otherwise.
11.5 Discontinuing the Service. We may discontinue the Service or any part of it. If we discontinue the whole Service, we will give you at least 30 days' notice by email so you can export your store, and we will refund unused purchased Credits.
12. Our property and your feedback
The Service, including its software, design, interfaces, documentation and content (other than Your Content), belongs to us or our licensors and is protected by law. We give you a limited, personal, non-exclusive, non-transferable right to use the Service under these Terms. We keep all rights not expressly granted.
If you send us ideas, suggestions or other feedback, you allow us to use them freely, without obligation or payment to you.
13. Confidentiality
Each of us may receive non-public information from the other that is marked confidential or would reasonably be understood to be confidential, including the non-public parts of the Service. The receiving party will protect it with at least reasonable care, use it only in connection with the Service, and share it only with people who need it and are bound to keep it confidential. This does not apply to information that is public through no fault of the receiving party, was already known to it, was lawfully received from someone else, or was developed independently. Either party may disclose confidential information when the law requires, after giving notice where legally allowed. Your Content is also covered by section 7 and the Privacy Policy.
14. Third-party services
The Service relies on and connects with services run by others, including Model Providers, OpenRouter, Stripe, GitHub and Google. Your use of those services is also governed by their own terms and privacy policies. We do not control their independent services. Nothing in this section excludes responsibilities or liability that applicable law does not permit us to exclude. If a third-party service that the Service depends on changes or stops operating, we may have to change or stop the related feature.
15. Disclaimers
TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE, THE MODELS AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT.
To the extent permitted by applicable law, we do not promise that the Service will be uninterrupted, secure or error-free, that any Model will be available, that retrieval will find every relevant item, or that any Output will be accurate, complete or suitable for your purpose, including any legal, medical, financial, employment, safety-critical or customer-facing use. Benchmark results we publish describe the test they were measured on, not the results you will get. You are responsible for evaluating Outputs, applying appropriate human review, and keeping your own copies of anything important.
Some jurisdictions do not allow certain warranties to be excluded, so some of these exclusions may not apply to you.
16. Limitation of liability
TO THE EXTENT PERMITTED BY APPLICABLE LAW, WE AND OUR DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL OR DATA, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY.
Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud, or for death or personal injury caused by negligence, or any rights you have under consumer protection laws that cannot be waived or limited by contract.
17. Indemnity
To the extent permitted by applicable law, if you use the Service for business purposes, you will defend, indemnify and hold harmless us and our directors, officers, employees, contractors and agents from third-party claims, and related losses, damages, liabilities and costs (including reasonable legal fees), arising from: Your Content; your breach of these Terms, the Model Terms or the law; your violation of anyone's rights; or a dispute between you and your own users. We will tell you promptly about any such claim and may take part in its defence at our own cost. This section does not apply to the extent a claim is caused by our own breach or negligence.
18. Governing law and disputes
18.1 Governing law. These Terms and any dispute arising from them or from the Service are governed by the laws of the Province of Alberta and the federal laws of Canada applicable there, without regard to conflict of law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
18.2 Talk to us first. Before starting any formal proceeding, the party with the complaint must send the other a written notice describing the dispute and the relief sought (to us at support@augmentationai.com). We will both try in good faith to resolve it within 30 days of the notice.
18.3 Courts. If the dispute is not resolved within 30 days, either party may start proceedings in the courts of the Province of Alberta sitting in the Judicial Centre of Calgary, and both of us submit to their jurisdiction. Either party may bring an individual claim in small claims court (the Civil Division of the Alberta Court of Justice) where it qualifies, and either party may seek urgent injunctive relief, or relief for infringement of intellectual property, in any court with jurisdiction. These Terms do not require arbitration and do not waive any right to participate in a class proceeding.
18.4 Consumers elsewhere. If you are a consumer and the law where you live gives you the right to bring proceedings in your local courts, or protections that cannot be changed by contract, nothing in this section takes those rights away.
19. Changes to these Terms
We may update these Terms. For material changes, we will email account holders at least 14 days before they take effect and update the date at the top. Other changes, such as clarifications or changes required by law, take effect when posted. If you keep using the Service after a change takes effect, the updated Terms apply; if you do not agree, stop using the Service and you may delete your account. A dispute is decided under the version of these Terms in force when the dispute arose.
20. General
- Entire agreement. These Terms and any plan or package terms shown at purchase are the whole agreement between us about the Service and replace any earlier agreement on the same subject. The Privacy Policy explains how we handle personal information.
- Assignment. You may not transfer these Terms or your account without our written consent. We may transfer them to an affiliate or to a successor in a merger, acquisition or sale of assets, and will tell you if we do.
- No waiver. If we do not enforce a provision, we have not waived our right to enforce it later.
- Severability. If a provision is found unenforceable, it will be enforced to the maximum extent possible and the rest of these Terms stays in effect.
- Survival. Sections that by their nature should continue after termination do so, including sections 5 (for amounts owed and refunds), 7, 12 to 18 and this section.
- Third parties. No one other than you and us has rights under these Terms.
- Force majeure. Neither of us is responsible for delays or failures caused by events beyond our reasonable control, including outages at Model Providers, network or power failures, and natural disasters.
- Language. This is the English-language version of these Terms. Mandatory language rights continue to apply; this clause does not establish that a customer has received or waived a legally required French-language version.
- Headings are for convenience only.
21. Electronic communications
By using the Service, you agree to receive notices and other communications from us electronically, by email to the address on your account or in the Hub. These satisfy any legal requirement that a communication be in writing. Keep your email address up to date; we will use the notice methods required by these Terms and applicable law.
